Your Acceptance

Welcome to pay.box, a service of My.Box Inc., a Cayman Islands exempted company operating the pay.box brand ("pay.box," "We," "Us," or "Our"). These Waitlist Terms of Use ("Waitlist Terms") apply to your ("Your" or "You") visit to the pay.box waitlist landing page and any related signup form (together, the "Waitlist"). References to the “Waitlist” include the pay.box landing page and any related signup forms. My.Box has a principal place of business at 4th Floor, Harbour Place, 103 South Church Street, P.O. Box 10240, Grand Cayman KY1-1002, Cayman Islands.

The Waitlist is the registration list for early access to pay.box, a forthcoming product that will allow holders of .box names to send and receive payments using their name as a payment address. pay.box has not yet launched. These Waitlist Terms cover Your use of the Waitlist only. When pay.box launches, separate product terms will govern Your use of the live product.

By submitting Your name and email through the Waitlist, You signify Your agreement to these Waitlist Terms and to Our Privacy Policy. If You do not agree, please do not join the Waitlist.

ATTENTION: PLEASE READ OUR PRIVACY POLICY CAREFULLY BEFORE JOINING THE WAITLIST. JOINING THE WAITLIST INDICATES THAT YOU ACCEPT AND AGREE TO BE BOUND BY THESE WAITLIST TERMS AND OUR PRIVACY POLICY IN FULL. IF YOU DO NOT ACCEPT THEM, DO NOT JOIN THE WAITLIST. JOINING THE WAITLIST DOES NOT CREATE A CUSTOMER, USER, OR SERVICE RELATIONSHIP BETWEEN YOU AND MY.BOX AND DOES NOT GIVE RISE TO ANY OBLIGATION ON THE PART OF MY.BOX TO PROVIDE ANY PRODUCT OR SERVICE.

Eligibility

You affirm that You are at least 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into these Waitlist Terms. The Waitlist is not directed to children under 13, and We do not knowingly collect information from children under 13.

What You Provide

To join the Waitlist, We collect Your name and email address. You may also choose to share additional optional information (for example, country, payment corridor, or whether You currently send or receive money internationally) to help Us understand who pay.box should serve first. You agree that any information You provide is true, current, and not misleading. You represent that You are providing such information on Your own behalf or with proper authorization.

We use this information to:

  1. Add You to the Waitlist.
  2. Send You updates about pay.box, including launch timing, early access opportunities, and marketing and promotional communications relating to the product;
  3. Understand which audiences and corridors are most interested in pay.box.
  4. Respond to You if You ask for support or request a follow-up call or survey.

How We collect, use, store, and share Your personal information is described in Our Privacy Policy, which forms part of these Waitlist Terms.

You may unsubscribe from Waitlist communications at any time using the link in any email We send, or by contacting Us.

About pay.box (Forward-Looking Information)

The descriptions of pay.box on the landing page, including features, pricing, fees, supported regions, and launch timing, are provided for informational purposes only. They reflect Our current plans and are subject to change at any time without notice. Nothing on the landing page is an offer to sell, a solicitation to buy, or a binding commitment to deliver any product, service, or financial instrument. You acknowledge that You have not relied on any statement, representation, or expectation regarding pay.box, including any anticipated features, pricing, functionality, or launch timing, in deciding to join the Waitlist.

In particular:

  1. The indicative price of USD $30 for a .box name (which is intended to include a pay.box wallet at no extra cost) is not a guarantee. Final pricing, fees, and terms will be set at launch and may differ.
  2. Any reference to a ramping fee of approximately 1.10% for moving between fiat and crypto is an estimate based on current market conditions and Our intended pricing. Actual fees at launch may be higher or lower and will depend on Our payment partners, prevailing rates, and applicable law.
  3. Any statement that existing .box name holders will receive a pay.box wallet at no additional name cost reflects Our current intent. The specifics of how this benefit is delivered, claimed, and used will be confirmed at launch and may be subject to additional terms, eligibility checks, and conditions.
  4. Joining the Waitlist does not reserve a .box name, allocate any wallet, establish any account, hold a price, guarantee early access, or create any right, entitlement, or priority to use pay.box at launch or otherwise.
  5. pay.box, when launched, will involve digital assets and blockchain technology. Cryptocurrency and stablecoin transactions involve inherent risks, including price volatility, regulatory uncertainty, irreversibility of transactions, and the potential for total loss. Joining the Waitlist does not expose You to these risks; using the live product, when available, will. Separate product terms and risk disclosures will apply at that point.

Nothing in the Waitlist, the landing page, or these Waitlist Terms constitutes financial, investment, payment, or legal advice, or an offer or solicitation to provide regulated financial services. Any future pay.box product may be subject to regulatory requirements, and availability may vary by jurisdiction.

Privacy

Our Privacy Policy describes the information We collect when You join the Waitlist and use Our related properties, how We use that information, and the rights You have under applicable laws (including the GDPR and the CCPA/CPRA). The Privacy Policy is part of these Waitlist Terms. By joining the Waitlist, You consent to Our use of Your personal information in accordance with the Privacy Policy.

Permitted Use

The Waitlist is made available for the sole purpose of allowing You to register Your interest in pay.box. In Your use of the Waitlist, You will not:

  1. Submit false, misleading, or unauthorized information, including information relating to any other person without their permission..
  2. Submit information of, or on behalf of, any individual under 13 years of age.
  3. Use the Waitlist for any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or other form of solicitation.
  4. Use any automated system, bot, scraper, or similar tool to submit signups, harvest data, or interfere with the Waitlist.
  5. Attempt to damage, disable, overburden, or impair the Waitlist or interfere with any other party's use of it.
  6. Transmit any viruses, worms, Trojan horses, or other harmful code.

We reserve the right to remove any submission, refuse access, or terminate any Waitlist entry at any time, with or without notice, and for any reason or no reason.

We may, in our sole discretion, determine the order and eligibility of access to pay.box at launch and may deny or limit access to any individual or jurisdiction for any reason, including compliance, legal, or operational considerations.

Intellectual Property

The pay.box landing page, the pay.box, my.box, and .box names, logos, and marks, and all text, graphics, designs, code, and other content on the page (collectively, the "Content") are owned by or licensed to My.Box and are protected by copyright, trademark, and other intellectual property rights under applicable laws and international conventions. PAY.BOX, MY.BOX, .BOX, and associated logos are trademarks of My.Box. You may not copy, reproduce, modify, distribute, publish, transmit, or otherwise use the Content for any purpose other than viewing the page in the ordinary course of considering whether to join the Waitlist, without Our prior written consent.

Third-Party Links

The Waitlist may contain links to third-party websites, social media accounts, or services that are not owned or controlled by My.Box. My.Box has no control over, and assumes no responsibility for, the content, privacy practices, or terms of any third-party website or service. You access them solely at Your own risk.

Disclaimers

YOU AGREE THAT YOUR USE OF THE WAITLIST AND THE PAY.BOX LANDING PAGE IS AT YOUR SOLE RISK. THE WAITLIST AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MY.BOX, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SHAREHOLDERS, LICENSORS, LICENSEES, AND SUPPLIERS (COLLECTIVELY, "THE MY.BOX PARTIES") MAKE NO WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE WAITLIST, THE PAY.BOX LANDING PAGE, OR ANY CONTENT, INCLUDING ANY IMPLIED WARRANTIES OF AVAILABILITY, NON-DISRUPTION, SECURITY, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT THE WAITLIST IS PROVIDED FOR INFORMATIONAL AND MARKETING PURPOSES ONLY.

WITHOUT LIMITING THE FOREGOING, THE MY.BOX PARTIES DO NOT REPRESENT OR WARRANT THAT (I) THE WAITLIST OR THE PAY.BOX LANDING PAGE WILL BE AVAILABLE, ACCURATE, COMPLETE, OR ERROR-FREE; (II) PAY.BOX WILL LAUNCH AT ALL, OR WILL LAUNCH ON ANY PARTICULAR TIMELINE OR WITH ANY PARTICULAR FEATURES, PRICING, FEES, OR REGIONAL AVAILABILITY; (III) ANY INDICATIVE PRICING, RAMPING FEE, OR EXISTING-HOLDER BENEFIT DESCRIBED ON THE LANDING PAGE WILL APPLY AT LAUNCH; OR (IV) YOUR PLACEMENT ON THE WAITLIST WILL RESULT IN ACCESS TO PAY.BOX, EARLY OR OTHERWISE.

Limitation of Liability

IN NO EVENT SHALL THE MY.BOX PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THE WAITLIST, THE PAY.BOX LANDING PAGE, ANY CONTENT, ANY DELAY OR FAILURE TO LAUNCH PAY.BOX, OR ANY DIFFERENCE BETWEEN PAY.BOX AS DESCRIBED ON THE LANDING PAGE AND PAY.BOX AS ULTIMATELY OFFERED, INCLUDING ANY LOSS OF PROFITS, DATA, OPPORTUNITY, REPUTATION, GOODWILL, OR BUSINESS, EVEN IF THE MY.BOX PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, ANY RELIANCE ON FORWARD-LOOKING INFORMATION OR EXPECTATIONS REGARDING pay.box.

THE MY.BOX PARTIES' MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH THESE WAITLIST TERMS, THE WAITLIST, OR THE PAY.BOX LANDING PAGE WILL BE LIMITED TO ONE HUNDRED U.S. DOLLARS (USD $100). THE FOREGOING LIMITATIONS WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

Indemnity

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE MY.BOX PARTIES FROM AND AGAINST ANY CLAIM, LOSS, OBLIGATION, DEMAND, DAMAGE, COST, LIABILITY, EXPENSE, AND ATTORNEYS' FEES ARISING OUT OF OR IN CONNECTION WITH (1) YOUR USE OR MISUSE OF THE WAITLIST OR THE PAY.BOX LANDING PAGE; (2) YOUR BREACH OF THESE WAITLIST TERMS; (3) YOUR VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING ANY PRIVACY, PUBLICITY, OR INTELLECTUAL PROPERTY RIGHT; OR (4) ANY INFORMATION YOU SUBMIT THROUGH THE WAITLIST.

Modifications

We reserve the right to modify, suspend, or discontinue the Waitlist or the pay.box landing page (or any portion of either), temporarily or permanently, with or without notice to You, and We are not obligated to support or update them. We may also change these Waitlist Terms at any time. If We have Your email address, We will notify You of material changes by email. If We do not, We will update this page to reflect the changes. Your continued use of the Waitlist after a change indicates Your acceptance of the updated Waitlist Terms.

Class Action Waiver

ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION, OR AS A NAMED OR UNNAMED MEMBER OF A CLASS. BY JOINING THE WAITLIST, YOU EXPLICITLY CONSENT TO THIS WAIVER.

Time Limit on Claims

Any claim relating to the Waitlist, the pay.box landing page, or these Waitlist Terms must be brought within one (1) year from the date the cause of action arose. Claims brought after that period are VOID.

Governing Law and Jurisdiction

The Waitlist is controlled and offered by My.Box from its facilities in the Cayman Islands. These Waitlist Terms are governed by Cayman Islands law, without regard to conflict of law provisions. The parties irrevocably consent to the exclusive jurisdiction of the courts of the Cayman Islands in relation to any dispute arising out of the subject matter of these Waitlist Terms. The parties exclude the application of the UN Convention on Contracts for the International Sale of Goods (CISG). Each of the My.Box Parties may enforce any provision of these Waitlist Terms in its own right under The Contracts (Rights of Third Parties) Law 2014 of the Cayman Islands.

General

These Waitlist Terms (together with Our Privacy Policy) constitute the entire agreement between You and My.Box in relation to the Waitlist and the pay.box landing page, and supersede any prior arrangements on the same subject matter. If any provision is held by a court or other tribunal of competent jurisdiction to be invalid, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remainder of these Waitlist Terms will remain in full force and effect. No waiver is effective unless in writing and signed on Our behalf. You may not assign these Waitlist Terms or any rights hereunder without Our prior written consent. We may assign them without restriction and without notice to You.
